Welcome to UP Dots: AI Image Generation, Elevated! These Terms of Use ("Terms") govern your use of the UP Dots website, application, and all related services (collectively, the "Service") provided by Content Spots ("UP Dots," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
1. Acceptance of Terms
The Service is offered subject to your acceptance without modification of all the terms and conditions contained herein and all other operating rules, policies (including, without limitation, UP Dots’ Privacy Policy), and procedures that may be published from time to time by UP Dots.
2. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of material changes by posting the new Terms on the Service or sending an email. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
3. Account Registration and Security
Eligibility: You must be at least Minimum Age of 16 years old to use the Service.
Account: You may be required to create an account to use certain features. You agree to provide accurate, current, and complete information during the registration process and to keep your password confidential.
Responsibility: You are responsible for all activities that occur under your account. UP Dots is not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.
4. User-Generated Content and Intellectual Property
4.1. The AI-Generated Content (Output)
The Service allows you to create images ("Output") by submitting text prompts, settings, and other input ("Input").
Ownership (Subject to Restrictions): Subject to your compliance with these Terms, and to the extent permitted by applicable law, you own all Output you create using the Service. UP Dots is not claiming ownership of your Input or Output.
Commercial Use: You may use the Output for commercial purposes, provided your use adheres to these Terms, including the restrictions in Section 5.
Disclaimer on Uniqueness: Due to the nature of AI models, Output may not be unique. Other users may generate similar or identical images. UP Dots makes no warranty regarding the uniqueness or originality of the Output.
4.2. License to UP Dots (Input and Feedback)
You grant UP Dots a worldwide, non-exclusive, royalty-free, and transferrable license to use, reproduce, modify, and distribute your Input and any generated Output for the sole purpose of operating, improving, and developing the Service, including training the underlying AI models. This license is critical for the function of an AI platform.
5. Prohibited Use and Conduct
You agree not to use the Service for any purpose that is prohibited by these Terms or applicable law. Specifically, you agree not to use the Service to generate, upload, or share content that:
Infringes Third-Party Rights: Violates or infringes upon the intellectual property rights, privacy rights, or publicity rights of any third party.
Illegal Content: Depicts or promotes illegal acts, hate speech, terrorism, or discrimination.
Hateful or Abusive Content: Is excessively violent, abusive, harassing, threatening, defamatory, or libelous.
Adult Content: Generates sexually explicit, pornographic, or graphic adult content.
Misinformation: Creates misleading, deceptive, or false content, especially content designed to impersonate individuals, spread political disinformation, or incite violence.
UP Dots reserves the right to immediately terminate your account if, in its sole discretion, you violate this Section.
6. Termination
UP Dots may terminate or suspend your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
7. Disclaimer of Warranties
The Service is provided "AS IS." UP Dots and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither UP Dots nor its suppliers and licensors makes any warranty that the Service will be error-free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Service at your own discretion and risk.
8. Limitation of Liability
In no event will UP Dots, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental, or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to UP Dots under this agreement during the twelve (12) month period prior to the cause of action.
9. Indemnification
You agree to indemnify and hold harmless UP Dots, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Service, including but not limited to your violation of these Terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Wisconsin, USA], without regard to its conflict of law provisions.
